Kenlor Terms & Agreement

Buyer will be required to adhere to the following Terms and Conditions (“Agreement”) whenever he or she procures any and all equipment, parts, components, or repair services (“Equipment”) or invoices, leases, proposals, quotes, purchase order acknowledgments, sales acknowledgments, drawings, exceptions documents or any other instrument describing repair or warranty work or other services (“Services”) are hereby governed by this agreement regardless of whether it is referenced therein or in any purchase order, transactional document or other communication between the parties. As a collective term, “Products” include equipment and services. Purchase orders or other communications from buyer to seller may not contain additional or different terms unless specifically agreed to in a single writing, signed by the parties. This agreement constitutes the entire, integrated agreement between the parties related to the subject matter of this agreement. All discussions, understandings, agreements, representations, courses of dealings, customs, and usages of trade between the parties regarding the subject matter of this agreement have been incorporated into this agreement, which is the full and complete expression of the parties’ agreement. Seller is not responsible for any representations and warranties made by buyer’s distributors and sales agents that are inconsistent or in conflict with this contract.
